When you register as a teacher on the Edemy.study platform, you agree to be bound by these Teacher Terms (“Terms”). These Terms apply to various aspects of the Edemy.study platform that are relevant to educators and are incorporated by reference into our Terms of Use, the general rules governing your use of our Services. Any capitalized terms that are not defined in these Terms are defined in the Terms of Use.

When acting as a teacher, you are entering into an agreement directly with AIG Research Ltd ( reg # 16265657), based in 128 City Road London EC1V 2NX United Kingdom, regardless of whether your payments are processed by another Edemy.study partner company or not.

1. Responsibilities of the teacher

As an instructor, you are responsible for all materials that you post, including lectures, tests, coding exercises, practice tests, assignments, resources, answers, course landing page content, labs, quizzes, and announcements (“Submissions”).

You represent and warrant that:

You will keep your account information current;

You have the necessary licenses, rights, consents, approvals and authority to grant Edemy.study the right to use Your Submissions as set forth in these Terms and Conditions of Use;

Your Submissions do not constitute a misappropriation of or infringe any third party intellectual property right;

You have the necessary qualifications, titles and experience (including education, training, knowledge and skills) to teach and offer the services You offer through Your Submissions and use of the Services; And

You will provide a quality service that meets the standards of your industry, specialization or area of ​​expertise and training services in general.

You warrant that you will not:

publish or post objectionable, offensive, racist, hateful, sexist, pornographic, false, misleading, inaccurate, infringing, defamatory or libelous material or information;

post or transmit unsolicited or unauthorized advertising, promotional materials, junk mail, spam, or any other form of solicitation (commercial or otherwise) to any user on or through the Services;

use the Services for any activity other than providing learning and teaching services to students;

engage in any activity that would require Edemy.study to obtain licenses from or pay royalties to third parties, including the payment of royalties for the public performance of musical works or sound recordings;

embed or enable the Services (such as embedding a free version of a course) or otherwise circumvent the Services;

impersonate another person or gain unauthorized access to another person's account;

interfere with or otherwise interfere with other teachers in providing their services or materials; or

abuse Edemy.study resources, including support services.

2. License to use Edemy.study

You grant Edemy.study the right to use your Submissions in accordance with the Terms of Use. This includes the right to caption or otherwise modify the Submissions to ensure their accessibility. You also grant Edemy.study the right to sublicense the rights to the Submissions to third parties, including transfers to students directly or through third parties, including resellers, distributors, affiliate sites, special application sites and paid advertising services on third party platforms. The rights granted under the Terms of Use also include the right for Edemy.study to apply generative and non-generative AI models, and improve non-generative AI models based on your Submissions as necessary to continue the core functionality of the Services (such as search and recommendations). Edemy.study may also apply generative AI models to your Submissions during an initial testing period in 2025. Edemy.study will cease applying generative AI models to Submissions from instructors who opt out of the AIGen Educator Generative Program (“AIGen Program”) and will remove such Submissions from generative AI functionality prior to their public release, as described in the AIGen Educator Policy.

Educators participating in the AIGen Program should review the AIGen Educator Policy for additional content licensing terms. You will be automatically added to the AIGen Program unless you cancel your participation within the annual application deadlines set forth in this Policy.

Unless otherwise stated (including under our Promotion Policy or AIGen Teacher Policy), you have the right to remove all or part of your Submissions from the Services at any time. Except as otherwise provided, Edemy.study's right to sublicense the rights in this section will terminate with respect to new users 60 days after the Submission is removed. However, (1) the rights granted to students prior to removal of Submissions will survive the terms of those licenses (including the provision of lifetime access) and (2) Edemy.study's right to use such Submissions for marketing purposes will survive termination.

We may record and use all or part of your Submissions for the purposes of quality control and the provision, marketing, advertising, display or maintenance of the Services. You hereby authorize Edemy.study to use your name, likeness, image and voice in connection with the offering, provision, marketing, advertising, display and sale of the Services, your Submissions or Edemy.study materials, and you waive all rights of privacy, publicity and other similar rights to the extent provided by applicable law.

3. Trust and safety

3.1 Trust and Security Policies

You agree to comply with Edemy.study's Trust and Safety Policies, Edemy.study's Restricted Topics Policy, and other content standards or policies established from time to time by Edemy.study. You should review these policies periodically to ensure your compliance with changes. You acknowledge that your use of the Services is subject to Edemy.study's approval, which we may grant or withhold in our sole discretion.

We reserve the right to remove content, withhold payments, and/or block teachers for any reason at any time without notice, including when:

the teacher or material does not comply with our policies or legal terms (including the Terms of Use);

the material does not meet our quality standards or negatively impacts the student experience;

the teacher engages in actions that could adversely affect Edemy.study or bring the company into disrepute, cause public contempt, embroil the company in scandal or become the subject of ridicule;

the teacher uses the services of a market participant or other business partner that violates the policies of Edemy.study;

the teacher uses the Services in a manner that creates unfair competition, such as promoting his or her business off-site in violation of Edemy.study policies; or

at the sole discretion of Edemy.study.

3.2 Peer teachers and teaching assistants

The Edemy.study platform allows you to add other users as teaching colleagues or teaching assistants for submitted materials that you manage; at the same time, you undertake to comply with the Rules and recommendations for interaction with fellow teachers when performing such actions. By adding a fellow teacher or teaching assistant, you understand that you are giving them the right to take certain actions that affect your Edemy.study account and submitted materials. Violation of Edemy.study policies and rules by your fellow teacher or teaching assistant may also affect your Edemy.study account and the materials you provide. Edemy.study cannot advise on or mediate any disputes between you and such users. If your Teaching Fellows have an Earned Earning Share, their share will be paid out of your Earned Earning Share based on the ratios you specified in your Course Management settings on the date of purchase.

3.3 Relationship to other users

Teachers do not have direct contractual relationships with students, so you will only receive data about students that is provided to you as part of the Services. You confirm that you will not use the data received for any purpose other than providing services to such students on the Edemy.study platform, and that you will not request additional personal data or store personal data of students outside the Edemy.study platform. You agree to compensate Edemy.study for any losses associated with your use of student personal data.

3.4 Anti-piracy

Edemy.study partners with anti-piracy solution providers to protect your content from unauthorized use. To provide such protection, You hereby designate Edemy.study and our anti-piracy solution providers as Your agents to enforce Your copyright rights in each of Your Content through notice and action (consistent with applicable copyright laws, such as the Digital Millennium Copyright Act), and to otherwise enforce those rights. You grant Edemy.study and our anti-piracy solution providers primary authority to file notices on your behalf to enforce your copyright rights.

You agree that Edemy.study and our anti-piracy solution providers retain the above rights until you revoke them by sending an email with the subject line "Revoke Anti-Piracy Protection Rights" to takedowns@Edemy.study.com from the email address specified in your account. Any revocation of rights will take effect 48 hours after we receive notice.

4. Pricing

4.1 Programs for teachers

Edemy.study offers marketing programs as set forth in the Promotional Policies (“Promotional Programs”) and the AIGen Program as set forth in the AIGen Faculty Policy (collectively, “Teacher Programs”). These programs will help increase your earning potential on Edemy.study and are free to participate in. You can change your membership status, and some programs may have additional requirements and time periods for cessation of participation. Any changes you make will not apply to already active campaigns.

4.2 Pricing

When you create Submissions available for purchase on the Edemy.study Platform, you will be asked to select a base price (“Base Price”) for your Submissions from a list of available price categories. You may also offer your Submissions free of charge. As a premium teacher, you will also have the opportunity to participate in Promotional Programs). The company reserves the right to disagree with the proposed price and offer to adjust prices. The final decision on the placement of materials is within the competence of the company.

If you choose not to participate in the Promotional Programs, we will charge your Submissions the Base Price or the closest local equivalent or mobile app price (as described below). If you choose to participate in Promotions, we will charge a different discounted or listed price for your Submissions in accordance with the Promotion Policy.

When a student makes a purchase using a foreign currency, we will convert the applicable Base or Promotional Program price into the student's current currency using the system-wide foreign currency conversion rate established by Edemy.study and periodically recorded in the applicable currency price tier table (via the AURUM system). Because the Pricing Matrix is ​​fixed, these conversion rates may not be identical to the applicable prevailing market rate when the transaction is processed. We reserve the right to update the Pricing Matrix at any time. Pricing matrix and additional information about Edemy.study pricing can be found here.

When a student makes a purchase through a mobile application, control is exercised through the mobile platform provider's pricing matrix and we select the price tier that is closest to the applicable Base or Promotional Program price. Because mobile platforms provide their own currency conversion rates, the conversion value for prices in the mobile application may not be the same as the conversion value in the Pricing Matrix.

You authorize us to share your Submissions free of charge with our employees, certain partners, and in cases where we need to restore access to those customers who previously purchased your Submissions. You understand that you will not receive compensation in such cases.

4.2 Taxes on transactions

If a student purchases a product or service in a country where Edemy.study is required to pay state, state, local, use, value added tax (VAT) or any other similar taxes (collectively, “Transaction Taxes”) under applicable law, Edemy.study will collect and report Transaction Taxes on such sales to the appropriate tax authorities. For mobile app purchases, applicable Transaction Taxes will be collected by the mobile platform (such as Apple's App Store or Google Play).

5. Payments and disbursements

5.1 Revenue share

When a student purchases your Submitted Materials, we calculate the gross sales amount as the amount actually received by Edemy.study from the student (“Gross Amount”). From this, we deduct Transaction Taxes, mobile platform fees applicable to sales through a mobile service provider, a 3% service and processing fee (except in Japan, where we deduct 4%) for any sales not through a mobile service provider, and any amounts paid to third parties in connection with the Teacher Programs to calculate the net sales amount (“Net Amount”).

If you choose to enroll in any of the optional Edemy.study Teacher Programs, excluding sales through teacher coupon codes or course referral links described below, your revenue share will be 70% of the net amount less applicable withholdings such as returns and student refunds. If we change this payment rate, we will provide you with 30 days' notice through visible means, such as email or by posting a notice through our Services.

If you elect to participate in any of the Educator Programs, your applicable revenue share may vary and will be as set forth in the Promotion Policy or the AIGen Educator Policy.

Edemy.study makes all payments to teachers in United States Dollars (USD), regardless of the currency in which the sale is made. Edemy.study is not responsible for foreign exchange fees, bank transfer fees, or any other processing fees. Your income statement will show your sales price (in local currency) and the converted amount of your income (in US dollars).

5.2 Teacher coupons and referral links to courses

The Edemy.study Platform allows you to create coupon codes and referral links to offer certain Submissions to students at a discount, at Edemy.study's current price, or for free, subject to the terms of these Services. Such coupon codes and referral links are subject to restrictions and you may not distribute them on third party websites or otherwise offer them in exchange for compensation. Additional information and restrictions regarding coupon codes and referral links are set forth in the Trust and Security Policy.

When a student uses a coupon code or referral link at checkout, your revenue share will be 70% of the net amount less any applicable deductions such as student returns and refunds.

5.3 Receiving payments

In order for us to pay you funds on time, you must have a valid account in the AURUM system or an account in any bank to which the AURUM system has access (information about availability is on the website aurum.money) and provide Edemy.study with a valid email address associated with them. You must also provide identifying information or tax documentation (such as a U.S. Form W-9 or W-8) necessary to pay any amounts due, and you acknowledge that we have the right to deduct applicable taxes from your payments. We reserve the right to withhold payments or impose other penalties if we do not receive adequate identifying information or tax documentation from you. You understand and agree that you are responsible for all taxes on your income.

Any U.S. tax returns, such as Form 1099 and Form 1042-S, will be sent to you in electronic format, and you consent to the digital receipt of such tax returns. Tax returns will be available on the Taxes and Payment Settings page of your teacher profile for a minimum of three (3) years, but their retention period may change in the future. You have the right to revoke this consent at any time by sending us an email to instructor support@Edemy.study with the subject line “Revoking Consent for Digital Receipt” from the email address associated with your Edemy.study account. If you do not agree to receive digitally, a paper copy of your tax returns will be sent to your mailing address. Your consent to digital receipt is effective until you revoke it. Documents are provided in PDF format. To participate in Digital Receipt you will need: a valid Edemy.study account, internet access, and the ability to open, download and print PDFs using a PDF viewer such as Adobe® Reader®. For more information about accessing your tax returns, see our Help Center article.

Depending on the revenue share model applied, payments will be made within 30 days of the end of the month in which (a) we received payment for the course, or (b) redemption of the applicable course occurred.

As a faculty member, you are responsible for determining whether you qualify to receive funds from AURUM, which is considered an Israeli company, AJ Research ltd.(Israel). We reserve the right not to pay funds in the event of identified fraud, intellectual property rights violations or other violations of law, or claims by Customers.

The transfer and crediting of funds to the AURUM system account is considered fulfillment of obligations to you as a teacher, and from the day the funds are credited, the funds must be claimed from AJ Research Ltd. (Israel)

5.4 Returns

You acknowledge and agree that students have the right to receive a refund as set forth in the Terms of Use. Teachers will not receive any income from transactions for which a refund has been granted under the Terms of Use.

If a student requests a refund after we have made a qualifying payment to the instructor, we reserve the right (1) to deduct the amount of the refund from the next payment made to the instructor, or (2) if no further payments are due to the instructor or the payments are insufficient to cover the refunded amounts, to require the instructor to return any amounts refunded to students for the Submitted Materials.

6. Trademarks

If you are a published educator and subject to the following requirements, you may use our trademarks if we grant you the right to do so.

You must:

use images only of those trademarks that we provide to you, as specified in the rules that we may publish;

use our trademarks only in connection with the advertising and sale of your Submissions available on the Edemy.study platform or your participation in the activities of Edemy.study; And

comply with our requests immediately if we ask you to stop using.

You must not:

use our trademarks in a manner that is misleading or defamatory;

use our trademarks in a manner that implies that we recommend, sponsor or endorse your Submissions or services; or

use our trademarks in a manner that violates applicable law or in connection with any obscene, indecent or illegal topic or material.

7. Deleting your account

Instructions on how to delete your teacher account are available here. We will make all commercially reasonable efforts to make any remaining payments scheduled for you before terminating your account. You understand that if students have previously purchased access to your Submissions, after deletion of your academic record, your name and Submissions will remain available to such students. If you need assistance or have difficulty deleting your account, you can also contact us through our Help Center.

8. Other legal conditions

8.1 Updates to these Terms

We may update these Terms from time to time to clarify our policies or to accommodate new or different policies (for example, when we add new features), and Edemy.study reserves the right, in its sole discretion, to modify and/or make changes to these Terms at any time. If we make any material changes, we will notify you by email using known methods, such as sending a notice to the email address specified in your account or by posting a notice through our Services. Changes take effect on the date they are posted unless otherwise stated.

Your continued use of our Services after changes become effective means you accept those changes. Any revised Terms supersede all prior Terms.

8.2 Translation

Any version of these Terms in a language other than English is provided as a convenience, and you understand and agree that in any dispute, the English version will control.

All controversial issues are resolved in the court of the UK jurisdiction at the registered address of AIG Research Ltd.

8.3 Our relationship

You and we acknowledge that we are not in a joint venture, partnership, employment, contract or agency relationship.

8.4 Survival

The following sections will survive the expiration or termination of these Terms: 2 (License to Use Edemy.study), 3.3 (Relation to Other Users), 5.3 (Receipt of Payments and Disbursements), 5.4 (Refunds), 7 (Deleting Your Account) and 8 (Other Legal Terms).
